In this course, Blake Crow will provide an overview of M&A activity and the trends in deal pricing, deal provisions and key negotiating areas that have emerged in recent deals, and a summary of the preferred deal structures and potential issues that any buyer or seller must consider when structuring a M&A transaction. The course will cover the regulatory process for obtaining approvals, with a special focus on recent timelines, special areas of concerns flagged by regulators in recent transactions, and special term and conditions that have been imposed by regulators. Specific topics to be covered include:
- Target identification / marketing
- Purchase price determination
- Transaction legal and tax structures
- Transaction financing
- Regulatory application process
- Acquisition accounting
